Welcome to MotionMate.pro ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website (the "Site") and any services provided through it, including video production, editing, motion graphics, marketing campaigns, content creation, and related services (collectively, "Services"). By accessing the Site or using our Services, you ("you," "your," or "Client") agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
1. Services and Scope
We provide custom video production, marketing, and creative services as outlined in your project quote, proposal, or agreement ("Project Agreement"). Services may include scripting, filming, editing, animation, social media optimization, and campaign management. All projects are custom and non-recurring unless specified. We reserve the right to modify Services, timelines, or deliverables based on Client feedback, resource availability, or unforeseen circumstances. Projects begin upon receipt of the initial deposit and a signed Project Agreement.
2. Client Responsibilities
To ensure smooth delivery: Provide all necessary materials (e.g., footage, logos, assets) promptly and in the required format. Respond to revisions within 48 hours; delays may extend timelines. Ensure all provided content complies with laws and does not infringe third-party rights. Approve final deliverables in writing; minor changes post-approval may incur additional fees.
3. Fees and Payment
Fees are detailed in the Project Agreement. We accept payments via Payoneer, bank transfer, or other methods listed on the Site. Payment Schedule: 50% deposit to start, 30% at first draft/milestone, 20% upon final delivery and approval. Late payments incur a 1.5% monthly interest charge. Unpaid balances may suspend Services. All fees are in USD and non-refundable except as outlined in our Refund Policy (Section 10). Additional revisions beyond 2 rounds or scope changes are billed at our hourly rate ($75/hour).
4. Intellectual Property
Pre-existing Materials: You retain ownership of any materials you provide. We retain ownership of our pre-existing tools, templates, and stock assets. Delivered Work: Upon full payment, we grant you a perpetual, non-exclusive, worldwide license to use the final deliverables for your intended purposes (e.g., commercial marketing). Source files (e.g., raw edits, project files) are provided only if specified in the Project Agreement.
5. Revisions and Approval
Projects include up to 2 rounds of revisions. Additional changes are subject to extra fees. Final approval must be provided in writing (email suffices). We are not responsible for changes requested after approval.
6. Timelines and Delays
Timelines are estimates based on the Project Agreement. Delays caused by you (e.g., late feedback or assets) extend deadlines accordingly. We are not liable for delays due to force majeure (e.g., illness, technical issues, pandemics).
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the project, except as required by law.
8. Warranties and Disclaimers
Services are provided "as is." We warrant that our work will be performed professionally using reasonable skill. No other warranties apply, express or implied, including fitness for a particular purpose. We do not guarantee specific results (e.g., views, conversions) from marketing Services. The Site and Services are not intended for illegal activities.
9. Limitation of Liability
To the fullest extent permitted by law: Our total liability shall not exceed the fees paid for the specific project. We are not liable for indirect, consequential, or punitive damages (e.g., lost profits). You indemnify us against claims arising from your materials or misuse of deliverables.
10. Refunds and Cancellations
Deposits are non-refundable. Cancellations before work begins: 50% of deposit refunded. No refunds after first draft delivery. Disputes resolved via negotiation; unresolved issues go to arbitration in Dhaka, Bangladesh.
11. Termination
We may terminate Services for non-payment, breach of Terms, or unethical requests. Upon termination, you pay for work completed.
12. Governing Law
These Terms are governed by the laws of Bangladesh. Any disputes shall be resolved exclusively in the courts of Dhaka.
13. Changes to Terms
We may update these Terms at any time. Continued use of the Site/Services constitutes acceptance.
